Terms of Service

Last updated

These Terms of Service ("Terms") are an agreement between you and Arc10 Technologies Inc. ("Arc10", "we", "us") for your use of Arclyx, including arclyx.ai, the application at app.arclyx.ai, our API and related services (the "Services").

1. Acceptance of terms

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you accept them for an organisation, you confirm you are authorised to bind it. If you do not agree, do not use the Services.

2. The Services

Arclyx lets you build and run AI agents. Agents can work with documents you upload, use tools and integrations you enable, run code in an isolated sandbox and produce files. We improve the Services continuously, so features may be added, changed or removed. If a change materially reduces what a paid plan provides, we will tell you in advance.

3. Eligibility and accounts

  • You must be at least 18, or the age of majority where you live, to use the Services.
  • Every account belongs to an organisation. Its administrators can invite and remove members, manage documents, agents and integrations, see billing and see run activity in the organisation.
  • Keep your credentials and API keys secure and tell us promptly if you think your account has been compromised. You are responsible for activity under your account.
  • Give us accurate information and keep it up to date.

4. Plans, billing and taxes

  • Paid plans are billed per seat in advance, monthly or annually, at the prices on our pricing page. Payments are processed by Stripe.
  • The Free plan needs a verified payment card before the first action that costs money: your first chat message or agent run, or turning on a schedule or webhook. We ask for it then, not at sign-up. Stripe verifies the card with a $0 check. The Free plan is never charged. We ask for a card to stop fake accounts, so we allow one Free organisation per card. Prepaid cards are not accepted. If you upgrade to the Team plan, we use the same card.
  • Usage beyond what your plan includes, such as AI model tokens and sandbox compute, is metered. If you turn on pay-per-use, it is drawn from your credit balance; otherwise runs stop when the included usage runs out.
  • If you turn on auto top-up, we charge your card on file for the amount you choose whenever your credit balance falls below the level you set. Enterprise plans with a monthly commitment are charged that amount each month, and it is added to your credit balance.
  • Fees exclude taxes unless stated; applicable taxes are added at checkout.
  • Subscriptions renew automatically until cancelled. Cancellation takes effect at the end of the current billing period. Fees already paid are not refunded, except where the law requires.
  • We will give you advance notice before a price increase takes effect.

5. Your content

You keep all rights in the content you put into the Services, including documents, prompts, agent configurations and outputs. You give us a limited licence to host, process and transmit that content only to provide the Services to you, for example to index your documents and send your requests to AI model providers. We do not use your content to train AI models, and neither do the AI model providers we use. We use zero data retention where a provider offers it; otherwise a provider may keep content for a limited period to detect misuse, as our Privacy Policy describes. You are responsible for having the right to use your content and for its legality.

6. AI agents and output

  • Output is generated by AI models. It can be inaccurate, incomplete or misleading. Check anything important before you rely on it, and do not treat it as professional advice.
  • Agents can take actions, such as running code, posting to Slack, creating drafts and making other changes in connected services, and emailing the person they run for, and can run on a schedule or when a webhook triggers them, without you present. You decide what each agent can access and do, and you are responsible for the actions of agents in your organisation.
  • We may limit or stop runs that exceed plan limits, loop without progress or threaten the stability of the Services.

7. Acceptable use

You must not use the Services to:

  • break the law or help others do so;
  • infringe intellectual property, privacy or other rights;
  • upload malware, or attack, probe or disrupt any system;
  • get around the sandbox, rate limits, quotas or access controls, or try to access another organisation's data;
  • create content that sexually exploits children, incites violence or harasses people;
  • resell the Services or use them to build a competing product;
  • send spam or impersonate others.

8. Our intellectual property

Arc10 owns the Services, including the software, design and the Arclyx name and logo. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. You may not copy, modify, reverse engineer or resell them, except as the law allows. Feedback you send us may be used without obligation to you.

9. Third-party services

The Services rely on third-party providers, such as AI model providers, payment processing and email delivery, and offer built-in connectors to third-party tools, listed in our Privacy Policy, plus any your organisation's administrators add. None are connected by default. When you connect one, you authorise us to exchange data with it on your behalf until you disconnect it, and you confirm you have the authority to grant that access. Those services are run by other companies under their own terms and privacy policies; we do not control them, are not responsible for them, and do not endorse them by supporting them. Our Privacy Policy lists the providers we use.

10. Availability

We work to keep the Services available but do not guarantee they will be uninterrupted or error-free. We may suspend parts of the Services for maintenance or to protect the Services or their users. We do not offer an uptime commitment unless agreed separately in writing.

11. Suspension and termination

  • You can stop using the Services and cancel your subscription at any time. To close your account and delete its data, email privacy@arclyx.ai.
  • We may suspend or close an account that breaches these Terms, does not pay, or where the law requires. Where we can, we will tell you first and give you a chance to fix the problem.
  • After an account closes, we delete or anonymise its data as described in our Privacy Policy. Ask us before closing if you need an export.

12. Disclaimers

THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

13. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY RELATING TO THE SERVICES IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. Nothing in these Terms limits liability that cannot be limited by law, or your statutory rights as a consumer.

14. Indemnity

You will defend and indemnify Arc10 against third-party claims arising from your content, your use of the Services in breach of these Terms, or your violation of law or of someone else's rights.

15. Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The courts of Toronto, Ontario have exclusive jurisdiction. If you are a consumer living elsewhere, you keep the protection of mandatory laws where you live. Please contact us first: most issues are faster to resolve directly.

16. General

  • Changes: we may update these Terms. For material changes we will notify you in advance by email or in the app. Continued use after a change takes effect means you accept it.
  • Entire agreement: these Terms and the Privacy Policy are the whole agreement between us about the Services, unless we sign a separate agreement.
  • Severability and waiver: if any part is unenforceable, the rest still applies. Not enforcing a right is not a waiver of it.
  • Assignment: you may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • Force majeure: we are not liable for failures caused by events beyond our reasonable control.
  • Notices: you agree to receive notices electronically.
